Terms of Service

1. Parties and Scope
These Terms of Service apply to the use of the Venuet service. The service is provided by InSoHo Oy (Business ID 3319423-5, registered office Kuopio, Finland; “Venuet”, “we” or “service provider”).
In these terms, “operator” means the restaurant, event venue, company or other organisation that subscribes to or uses Venuet. “User” means an individual to whom the operator grants access to the service. The operator is responsible for ensuring that its users comply with these terms.
2. Service Description
Venuet is a cloud service for restaurants and event venues. The service can be used to receive inquiries, create and send proposals, track proposal opens and acceptances, manage customer information, and produce proposal-related PDF documents and notifications.
The service may include optional features such as an embeddable inquiry widget, WhatsApp notifications, email-related features and an AI assistant. Availability of optional features may depend on the service plan, settings and third-party services.
3. Accounts and User Management
The operator must provide accurate and up-to-date information when creating an account. The operator is responsible for its account, users, access rights and secure use of credentials.
User accounts are personal. The operator may not transfer an account, user credential or access right to a third party without Venuet's prior written consent. The operator must notify Venuet promptly if it suspects misuse of the account or unauthorised access to credentials.
4. Trial, Plans and Pricing
New operators may be offered a free 14-day trial. The content of the trial and any limitations are shown in the service or on the pricing page. After the trial, continued use may require selecting a paid plan and providing a valid payment method.
Plans, features and prices are presented on Venuet's website or in the service. Unless otherwise agreed, prices are in euros, VAT is added as required by applicable law, and additional users are charged according to the then-current price list. If the operator changes plan, the change takes effect as stated in the service, usually from the beginning of the next billing period.
5. Payment and Billing
Fees are charged in advance according to the selected billing period. Payment processing may be handled by Stripe or another payment service provider. The operator is responsible for keeping its payment method valid and billing details accurate.
If a payment fails or an invoice remains unpaid, Venuet may restrict or suspend access to the service until payment is received. Suspension does not remove the operator's obligation to pay overdue fees.
6. Operator Responsibilities
The operator is responsible for all content and data that it or its users store in the service. This may include customer information, inquiries, proposals, prices, images, attachments, terms and messages.
The operator is responsible for having the right to collect, store, use and send this data. The operator is also responsible for its own customer relationships, proposal content, pricing, taxes, cancellation terms and ensuring that proposals and other communications comply with applicable laws and industry obligations.
7. Acceptable Use
The service may only be used for lawful purposes. The operator may not use the service in a way that infringes others' rights, violates law, sends spam or other unauthorised communications, distributes malware, attempts to breach or bypass service security, overloads the service, or interferes with other users' use of the service.
Venuet may remove prohibited content, restrict use or suspend an account if the operator or a user breaches these terms, creates a security risk, or uses the service in a way that may harm the service, other customers or Venuet's reputation.
8. Proposals, Acceptance and Electronic Signature
Venuet provides a technical way to create, send and accept proposals. The operator decides the content of each proposal and is responsible for the legal effect that acceptance has between the operator and the recipient.
The service may record the time of acceptance, signer details, IP address, proposal content and a technical hash of the signed version. These records are intended to show which version the customer accepted. Venuet does not provide legal advice and does not guarantee that every acceptance made through the service satisfies all formal requirements that may apply to the operator's industry, customer or contract.
9. Optional AI and Messaging Features
If the operator enables the AI assistant, WhatsApp integration or another optional feature based on a third-party service, the operator is responsible for ensuring that the feature is suitable for its use case and that it has the necessary rights and consents to send messages and process data.
AI-generated content may be incorrect or incomplete. The operator must review AI-generated content before using it in customer communications, proposals or decision-making.
10. Personal Data and Privacy
Venuet processes personal data in accordance with its Privacy Policy and, where applicable, the Data Processing Agreement. The operator will usually act as controller for personal data it stores in the service about its customers, prospects, event guests and other recipients. Venuet acts as processor for that data unless law or a separate agreement provides otherwise.
The operator is responsible for having a lawful basis for processing and for providing required privacy information to its own customers.
11. Intellectual Property
Venuet and its licensors own all rights in the service, software, user interface, technology, documentation and brand. The operator receives a limited, non-exclusive and revocable right to use the service in accordance with these terms.
The operator keeps ownership of its own content. The operator grants Venuet the right to use, store, copy, display and process operator content to the extent necessary to provide, maintain, secure, support and develop the service.
12. Availability and Changes
Venuet aims to keep the service reliably available, but the service may be interrupted because of maintenance, updates, security actions, third-party outages or force majeure events.
Venuet may change the service, features and technical implementation. We aim to give advance notice of material changes where reasonably possible. Urgent security or reliability actions may be taken without advance notice.
13. Termination
The operator may cancel its subscription in the service or by contacting Venuet. Unless otherwise agreed, cancellation takes effect at the end of the current billing period and paid fees are not refunded.
Venuet may terminate or suspend the agreement if the operator materially breaches these terms, fails to pay fees, creates a security risk or uses the service unlawfully. When the agreement ends, the operator's access to the service ends or becomes limited. The operator may be given a reasonable period to export data, after which data is deleted or anonymised in accordance with the Privacy Policy and Data Processing Agreement.
14. Limitation of Liability
The service is provided as it is from time to time. Venuet does not guarantee that the service will be uninterrupted or error-free, or that it will be suitable for every operator use case.
To the extent permitted by applicable law, Venuet is not liable for indirect damages such as lost revenue, lost profit, lost customers, reputational harm or loss of data. Venuet's total liability for claims under these terms is limited to the amount paid by the operator to Venuet for the service during the 12 months preceding the claim. These limitations do not limit liability where mandatory law does not allow limitation.
15. Governing Law and Disputes
These terms and use of the service are governed by Finnish law, excluding its conflict-of-law rules.
The parties will first try to resolve disputes through negotiation. If a dispute cannot be resolved by negotiation, it will be resolved by the competent Finnish court.
16. Changes and Contact
Venuet may update these terms. Material changes will be notified to the operator reasonably in advance, for example by email or in the service. If the operator does not accept the changes, the operator may stop using the service before the changes take effect.
